Definitions:

User: You as a content creator or a user who uploads the content to the Platform and is willing to use the Platform to make money.

The Platform: VideoHat LLC.

The Content: any sort of content or links that you own and are trying to make available on the Platform using this agreement.

Taxes: any US federal or state taxes required by this agreement or any transactions that are created by this agreement.

Transfer Methods: a list of money transfer options, not less than TWO, that the Platform is obligated to allow you to choose from.

Transfer fees: a service fee deducted by the money transfer service of your choice.

Terms:

1. User agrees to waive all the copyrights, distribution rights, licensing rights, monetization rights and any management rights of the Content to the Platform.
2. User warrants and represents being the sole owner of the Content and has the legal right to enter and fully perform this agreement and grant the rights contained herein.
3. User is at least 18 years of age or the legal guardian/custodian of the signed individual acting.
4. User agrees that the Content is to be solely controlled by the Platform, including but not limited to collecting, managing, and monetizing royalties of the Content to license, sell or use it in all media now known or hereafter devised in perpetuity throughout the universe in the way the Platform sees fit. The Platform is allowed to delete the content from the Platform under any circumstances and has the full right to edit or change the format of media that the Content is delivered in.
5. User takes responsibility for any ownership conflicts or damage that might occur if their ownership was found to be invalid.
6. User shall indemnify, defend and hold Licensee harmless from and against any and all suits, claims, liabilities, demands, costs, expenses, or damages arising out of Licensee’s Use of the Content as provided herein or arising out of the breach of warranty or agreement made by User herein. This License contains the full understanding and agreement of the parties with respect to the subject matter hereof.
7. User agrees not to license, sell, or waive the Material, any of the Content royalties or rights to any person, company or any sort of institution without the written approval of the Platform.
8. User agrees that the Platform is solely responsible for marketing, monetizing, and editing this content in the way they find proper on the known media platforms or digital devices.
9. The Platform is obligated to pay User 70% of the revenue of any direct sale transaction of the Content:(After deducting taxes and operational fees) and is obligated to provide User with payment details of any direct sale transaction of the Content if User requests by email withing 15 days of receiving the request.

10.The Platform is obligated to inform User of any direct sale transaction of the Content within 15 days of the transaction and is obligated to pay User any balance over $100 within 15 days. If User’s balance did not exceed $100 within 365 days of submission, the balance will be deducted by the Platform as maintenance fees.

11.The Platform is obligated to provide at least TWO money transfer methods and User payment transfer may be subject to “Transfer Fees” that should be explained by the Platform.
